Edison Systems, LLC

Applies to Edison Systems, LLC and its DBA companies, including Edison Technology Services, Edison Media, Edison Design and Engineering, The Edison Foundation, and any future divisions (collectively, “Edison Systems,” “we,” “our,” “us”).
1. Acceptance of Terms
By accessing or using any of our websites, platforms, or services, you agree to these Terms of Service, our [Privacy Policy], and any division-specific policies (such as [Shop Policies] for Edison Technology Services). If you do not agree, you must not use our services.
2. Services Provided
Edison Systems operates multiple divisions, including but not limited to:
Edison Technology Services – electronics repair, IT systems, and technical support.
Edison Media – creative, publishing, and marketing services.
Edison Design and Engineering – product design, fabrication, and technical solutions.
The Edison Foundation – nonprofit and philanthropic initiatives.
These Terms apply to all Edison divisions unless a written agreement specifies otherwise.
3. Use of Services
You agree to:
Use our services only for lawful purposes.
Not disrupt, interfere with, or misuse our systems, networks, or intellectual property.
Comply with any division-specific policies or agreements.
We reserve the right to suspend or terminate services for violations.
4. Intellectual Property
All logos, designs, names, content, and intellectual property are the property of Edison Systems, LLC and its divisions unless otherwise noted. You may not copy, modify, or distribute our intellectual property without prior written consent.
5. Payments and Billing
For paid services, you agree to provide accurate billing information.
Payment terms are outlined in invoices or division-specific agreements.
Late or missed payments may result in service suspension, termination, or (for repairs) device recycling.
Certain high-value orders may require wire transfer, check, or money order.
6. Third-Party Services
Some Edison services may integrate with or rely on third parties (e.g., hosting, analytics, payment processors). Edison Systems is not responsible for the actions, failures, or terms of such third parties.
7. Limitation of Liability
To the fullest extent permitted by law:
Edison Systems is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill.
Our total liability shall not exceed the greater of: (a) $200, or (b) the total amount paid for the service in question.
8. Division-Specific Policies
Certain Edison divisions have additional policies:
Edison Technology Services: governed by detailed [Shop Policies] covering repairs, warranties, and replacement parts.
Edison Media: may require separate creative agreements or licensing terms.
Edison Design and Engineering: may require project-specific contracts and intellectual property arrangements.
The Edison Foundation: governed by nonprofit-specific rules and donation terms.
In the event of conflict, the division-specific policy prevails for that service.
9. Privacy Policy
Your use of Edison services is also governed by our [Privacy Policy], which explains how we collect, use, and protect personal data.
10. Compliance with Consumer Rights
Nothing in these Terms removes or limits your rights under applicable consumer protection laws (including GDPR for EU users and CCPA for California residents).
11. Governing Law & Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, USA. Any disputes shall be resolved by binding arbitration in Laurel County, Kentucky, unless prohibited by law.
12. Changes to Terms
We may update these Terms from time to time. Updates will be posted with a revised effective date. Continued use of our services constitutes acceptance of updated Terms.
